Commercial Services

We dedicate a significant portion of our practice to commercial and transactional matters.

General Counsel to Early-Stage & Emerging Growth Companies
We have purposefully maintained ourselves as a smaller/boutique firm with low overhead structure. In doing so, we are uniquely situated to represent early-stage and emerging growth companies, which require high-quality legal services at a reasonable cost. In many instances, we are able to negotiate flexible fee arrangements that are better suited to early-stage companies that are in the process of raising capital via debt or equity placements.
While we maintain a significant emphasis on the representation of clients in software and technology-related fields, we also represent clients in a variety of other industries, such as gasoline wholesaling, real estate investment/development, telecommunications, distilled spirits, financial services (both traditional banking and private equity/investment banking), healthcare/medical, product manufacturing, third-party logistics, marketing and public relations, pharmaceutical, food-service/hospitality, agricultural/commodities and specialty retail, to name a few. Some of these clients are featured are on our website and have graciously provided an endorsement of our work.
The services we typically provide for these clients include:
  • Entity formation and negotiation/drafting of corporate governance documents (operating agreements, shareholder agreements, stock purchase agreements, etc..).
  • Negotiation and documentation of capital placement documents (retention agreements with broker dealer placement agents, private placement memoranda, debt/equity subscription agreements, etc…).
  • Intellectual Property Protection (Trademark and Copyright Registrations).
  • Intellectual Property License Agreements (e.g. software license agreements).
  • Establishment and documentation of equity incentive plans.
  • Drafting employment agreements, non-compete agreements and equity incentive award agreements.
  • Drafting employee handbooks and employment policies.
  • Drafting Terms of Use and Copyright Notices for websites, software and web-enabled software/applications.
  • Drafting distribution and reseller agreements with outside channel partners.
  • Drafting independent contractor agreements with sales or development partners.
  • Drafting Manufacture and Supply Agreements with trade partners and key vendors/suppliers.
  • Franchising Agreements and compliance.
  • Securities Law compliance and related federal/state filings.

While our legal services for business clients are always provided with an eye towards risk mitigation and avoidance, it is in inevitable that a business owner will experience conflict from time to time, whether with departing partners/employees or with trade partners/vendors/suppliers.   Because our lawyers are also skilled in dispute resolution and litigation (when necessary), we are able to successfully advocate for our business clients through some of their most turbulent and worrisome time periods.    Finally, our litigation experience greatly informs and benefits our commercial practice, and, in particular, it allows us to identify and document key issues and considerations in contractual negotiations.  This, in turns, helps our clients either avoid a dispute altogether or at least benefit from a distinct contractual advantage if a formal dispute is otherwise unavoidable.
In representing our business clients, we always seek to align ourselves with our clients as a true strategic partner with a vested interest in their growth and success.   Because we have owned our own businesses and also served as in-house and outside corporate counsel to numerous enterprises (both large and small), we believe that we have a unique and seasoned appreciation of the issues commonly confronted by business owners and entrepreneurs.   Our understanding of these key “drivers” enables us to have “business owner’s approach” to the practice of law and the delivery of legal solutions.  Thus, we find ourselves uniquely equipped to deliver highly-customized legal services in a cost-effective and responsive manner.    We believe this distinguishes our firm as a value-added resource in an otherwise crowded marketplace for legal services.
